Our client, a professional governing body in Kenya, wishes to recruit a highly competent, passionate, dedicated, and results-oriented professional to fill the position of Corporation Secretary & Director, Legal Services. The successful candidate will provide strategic leadership in corporate governance, legal services, regulatory compliance, and corporate secretarial functions while supporting the Council in delivering its statutory mandate through sound legal advice, effective governance practices, and compliance with applicable laws and regulations.
The Corporation Secretary & Director, Legal Services is responsible for providing strategic leadership and oversight of corporate governance, legal services, board affairs management, regulatory compliance, litigation management, contract administration, and corporate secretarial services. The position serves as the principal legal and governance advisor to the Council and Management and ensures compliance with applicable laws, governance standards, statutory obligations, and best practices in corporate governance.
Description
The duties and responsibilities shall entail:
- Provide legal, governance, and regulatory advice to the Council and Management.
- Coordinate Council induction, training, evaluation, governance audits, and implementation of the Council Charter and Code of Conduct and Ethics.
- Facilitate Council and Committee meetings, including preparation and circulation of agendas, papers, minutes, resolutions, and governance reports.
- Ensure safe custody and proper use of the Council Seal, statutory records, governance documents, and legal records.
- Maintain and update statutory registers, including conflict of interest registers.
- Interpret laws, regulations, policies, and emerging legal developments affecting the Council and provide legal opinions and recommendations.
- Formulate, implement, and review legal, governance, compliance, and regulatory policies, frameworks, and procedures.
- Draft, review, negotiate, and oversee implementation of contracts, agreements, Memoranda of Understanding (MOUs), and other legal instruments.
- Coordinate preparation and publication of legal notices, gazette notices, and statutory instruments.
- Oversee litigation management, dispute resolution, and engagement of external advocates.
- Liaise with the Office of the Attorney General and other regulatory and enforcement agencies on legal matters affecting the Council.
- Coordinate legal research, legislative reviews, and regulatory reforms, including review of sector legislation and related regulations.
- Lead implementation of legal risk management, compliance, data protection, and privacy frameworks.
- Facilitate protection and management of the Council's intellectual property rights.
- Lead digitization and automation of legal and governance processes, including legal technology, contract automation, AI-enabled solutions, and case management systems.
- Prepare departmental budgets, procurement plans, work plans, and performance reports.
- Provide leadership, mentorship, coaching, and performance management for staff within the Legal Services Department.
Education

The successful candidate must possess:
- Master of Laws (LL.M) degree or equivalent qualification from a recognized institution.
- Bachelor of Laws (LL.B) degree from a recognized institution.
- Advocate of the High Court of Kenya.
- Valid Law Practicing Certificate.
- Certified Public Secretary (CPS-K).
- Certified Governance Auditor (CGA).
- Membership in good standing with the Law Society of Kenya (LSK).
- Leadership Course lasting not less than four (4) weeks from a recognized institution.
- Proficiency in computer applications.

- At least twelve (12) years of relevant work experience in the public or private sector.
- At least five (5) years' experience at management level.
- Demonstrated results in work performance.
- Experience in governance, legal advisory, litigation management, corporate secretarial services, regulatory compliance, and contract management.
